Terms of Service.

The agreement between you and Kimeur Labs, LLC for using Boolance.

Last updated October 21, 2026 · Version 2026-10-21

Please read these Terms carefully. They include no refunds, a disclaimer of warranties, a limitation of liability, an informal dispute process, a waiver of jury trial and a requirement to bring claims individually.

Agreement

These Terms of Service (“Terms”) are a binding agreement between you and Kimeur Labs, LLC (“Kimeur Labs,” “we,” or “us”), the company in Dallas, Texas that operates Boolance. They cover the Boolance website, application, API and MCP services (together, “Boolance”).

By creating an account, starting a free trial, choosing a plan or otherwise using Boolance, you agree to these Terms. The Refund and cancellation policy is part of these Terms. Our Privacy notice explains how we handle personal information. If you don’t agree, don’t use Boolance.

Eligibility

You must be at least 18 years old and able to form a binding contract. Boolance is offered for business and professional use, including by sole proprietors, and not for personal, family or household use. If you use Boolance for a company or other organization, you confirm that you have authority to bind it, and “you” includes that organization. You may not use Boolance if you are barred from receiving services under the laws of the United States or other applicable laws. Keep your account and company information accurate and current.

Accounts, team members and security

  • Keep your password, authenticator app and recovery codes confidential, and use multi-factor authentication where Boolance offers or requires it, including before you connect a bank.
  • You are responsible for everything done with your account and credentials, by the people you invite to your company, and through the assistant clients and access tokens that you or your company’s owners and administrators approve. Actions taken with your credentials or through an approved grant or token are treated as yours.
  • Company owners and administrators decide who joins the company and each member’s role. Members can view and change records according to their role.
  • Tell us promptly at support@boolance.com if you suspect unauthorized access to your account or company.

The service

Boolance is bookkeeping software for developers and software businesses. It helps you import and review transactions, categorize and reconcile activity, keep receipts and other evidence, and produce financial reports and exports. We may add, change or remove features.

Free trial

Your first workspace starts with a 14-day free trial that includes up to 3 bank connections. One free trial is available per person; additional workspaces can be used for manual bookkeeping and need a paid plan before they connect banks. You don’t need a payment method to start the trial. The trial is how you evaluate Boolance before you pay.

The trial does not turn into a paid plan automatically, and we will not charge you unless you choose a plan. If you choose a plan during the trial, the trial ends and billing starts when you subscribe.

If the trial ends without a plan, bank sync stops and Boolance removes the workspace’s bank connections. Your bookkeeping records, imported transactions and reports are not deleted because the trial ended. You can choose a plan later and connect your banks again.

We may limit or end trials used to get around plan limits, such as repeated trials for the same business.

Fees and payment

Paid plans are billed monthly in advance, in US dollars, for each workspace: Starter is $9 per month with up to 3 bank connections, Builder is $19 per month with up to 5 bank connections, and Studio is $29 per month with up to 10 bank connections. Prices exclude taxes (see Taxes). The prices on our pricing page and at checkout apply; if they differ, the price shown at checkout applies to your purchase.

Payments are processed by Stripe through our billing provider, CashSDK. By subscribing, you authorize recurring monthly charges to your payment method for the plan you choose, plus applicable sales tax, until you cancel. Only a workspace owner can start checkout, change the plan or cancel it.

Taxes

Prices don’t include taxes. Kimeur Labs is registered to collect Texas sales tax. Where we are required to collect sales tax, currently in Texas, it is calculated at checkout and on each renewal from the billing address you give at checkout, and added to your charge. If your organization is exempt from Texas sales tax, send a valid exemption certificate to support@boolance.com. You are responsible for any other sales, use or similar taxes that apply to your purchase, including use tax where we don’t collect sales tax.

Automatic renewal and cancellation

Paid plans renew automatically every month, from the date you subscribe, at the then-current price plus applicable sales tax, until you cancel.

You can cancel online at any time. In Boolance, open Settings → Billing and choose Manage billing to open the billing portal. Cancellation takes effect at the end of the current paid period: you keep access until then, and you won’t be charged again.

No refunds

All payments are final and non-refundable. We don’t refund partial billing periods, unused time or features, downgrades, cancellation, company closure or account deletion.

There are two exceptions. We correct billing errors we make, such as a duplicate charge or a renewal charged after your cancellation took effect. And nothing in these Terms limits a right that applicable law gives you and does not allow to be waived. The Refund and cancellation policy explains how to report a billing error.

Failed payments

If a renewal payment fails, you keep your plan for a 7-day grace period while our payment providers retry the charge and you update your payment method in Billing settings. If payment still isn’t confirmed after the grace period, the subscription ends, bank sync stops and Boolance removes the workspace’s bank connections. Your bookkeeping records stay.

Plan changes and bank connection limits

A bank connection is one bank sign-in, even when it includes several accounts. To move to a plan with fewer connections, first disconnect the banks above its limit; Boolance won’t start that change while more are connected. Plan changes made in the billing portal take effect as the portal shows before you confirm.

If a plan with fewer connections takes effect while more banks are connected, for example after a change made directly in the billing portal, we email the workspace owner. After 7 days, Boolance removes the most recently added connections above the plan’s limit. Imported transactions and bookkeeping records stay.

Price changes

We may change plan prices or limits. We will email you 7 to 30 days before a price increase takes effect on your plan, with the new price and how to cancel. The new price applies from your first renewal after it takes effect. If you don’t want to continue at the new price, cancel before that renewal.

Acceptable use

Don’t use Boolance to:

  • break the law, or process data you have no right to use;
  • commit fraud, launder money or conceal the source of funds;
  • connect bank, payment-processor or email accounts you aren’t authorized to connect;
  • access another customer’s data, or get around authentication, permissions, plan limits or rate limits;
  • probe, scan or test the security of Boolance without our written permission (report suspected vulnerabilities as described on our Security page);
  • upload malware, or interfere with or overload the service; or
  • copy, resell or reverse engineer Boolance, or access it by automated means other than the interfaces we provide, such as our MCP integrations, except where the law allows.

Your data

You own the bookkeeping records, documents and other content you put into Boolance or connect to it (“your data”). You give us a limited, non-exclusive license to host, copy, process, transmit and display your data only as needed to provide, secure, support and improve Boolance for you, as described in our Privacy notice. We do not sell your data.

You are responsible for your data and for having the rights and permissions needed to put it into Boolance, including information about your customers, vendors and team.

You can export your records with the exports in Boolance while you have access. Before you close a company or delete your account, export anything you need to keep: a closed company and its bookkeeping records are permanently deleted 30 days after closure, once the bank-data provider has confirmed removal. Some records may be retained where the law requires it, as the Privacy notice explains.

Third-party services

Boolance works with services run by other companies: Plaid for bank connections; Stripe and CashSDK for subscriptions and payments; Stripe and PayPal for payment-processor records you choose to connect; Google (Gmail) and Microsoft (Outlook) for receipts; and OpenAI for optional receipt extraction. Your use of them is governed by their own terms and privacy policies, and we don’t control them. When you connect one, you authorize Boolance to access and use the data it provides for your bookkeeping.

Data from banks and other providers can be delayed, incomplete or wrong, and a provider can change or stop its service. Review imported activity before relying on it. For Stripe and PayPal you supply your own credentials: grant only the read access Boolance asks for, and keep those credentials secure. Disconnecting a service stops new imports; records already imported stay in your books.

Assistants and MCP clients

A company owner or administrator can connect coding agents, AI assistants and other MCP clients to Boolance, either by approving a client’s sign-in or by creating a personal access token, which lasts up to 90 days. A connected client acts for the person who connected it, within the company and permissions granted, until the access expires or is revoked. Edit access is a separate approval by an owner or administrator; with it, the client can create or change bookkeeping records on your behalf.

You are responsible for the clients you connect and for everything they do with that access. Keep personal access tokens as secret as a password, review changes a client makes, and revoke access you no longer need from Connections in Boolance. Information sent to a client is also handled under that client provider’s terms and privacy policy.

Suggestions and automation

Boolance can suggest categories, transaction matches and receipt details, including through optional receipt extraction that uses an AI model, and assistant clients produce their own output. Suggestions and assistant output can be wrong or incomplete. Review them before you approve them, and check your books before you rely on them or share them. Boolance records assistant activity in audit history but does not check an assistant’s reasoning or decisions.

No professional advice

Boolance is software. It is not an accounting firm, and we do not provide tax, legal, accounting, financial or investment advice. Reports and exports are produced from the records in your workspace. Boolance does not audit, review or certify your books, and it does not prepare or file tax returns. You are responsible for reviewing your books, reports and any filings made from them; consult a qualified professional about your situation.

Availability, beta and preview features

We work to keep Boolance available, but we don’t promise uninterrupted or error-free service, and maintenance, provider outages and events outside our control can interrupt it. Features labeled preview, beta, concept or planned are provided as they are, may be incomplete, and may change or end at any time.

Suspension and termination

You can stop using Boolance at any time. Cancel a paid plan in Billing settings. Owners can close a company and users can delete their account from settings.

We may suspend or end your access to all or part of Boolance if you breach these Terms, if a payment isn’t made, if we reasonably believe your use creates a security, fraud or legal risk, or if the law requires it. Where reasonable, we will tell you first and give you a chance to fix the problem and export your data.

Sections that by their nature should continue after termination continue, including those on amounts owed, no refunds, your data, disclaimers, limitation of liability, indemnity, disputes and governing law.

Boolance’s property and feedback

Boolance, including its software, design, documentation and brand, belongs to Kimeur Labs, LLC and its licensors. While you follow these Terms, you may use Boolance for your own bookkeeping. If you send us feedback or suggestions, we may use them without any obligation to you.

Disclaimer of warranties

To the fullest extent the law allows, Boolance is provided “as is” and “as available,” without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We do not warrant that Boolance, its reports and suggestions, or data from banks and other providers will be accurate, complete, timely, secure or uninterrupted.

Some jurisdictions don’t allow certain disclaimers, so some of these may not apply to you.

Limitation of liability

To the fullest extent the law allows, Kimeur Labs, LLC and its members, employees, contractors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, arising out of or related to Boolance or these Terms, even if we were told they were possible.

Our total liability for all claims arising out of or related to Boolance or these Terms is limited to the greater of the fees you paid us for Boolance in the 12 months before the event giving rise to the claim, or US$100.

These limits apply to every theory of liability, including contract, tort (including negligence) and statute. They do not limit liability that the law does not allow to be limited.

Indemnity

You will defend, indemnify and hold harmless Kimeur Labs, LLC and its members, employees and contractors against third-party claims, and the resulting losses, damages, liabilities, costs and reasonable legal fees, arising from your data, your misuse of Boolance, your violation of these Terms or the law, or the services and clients you connect. We will tell you about such a claim promptly and cooperate reasonably in its defense. You may not settle a claim in a way that imposes obligations on us without our consent.

Disputes

Talk to us first. Before filing a claim, the party raising a dispute must send a written notice describing it and the relief sought: to us at support@boolance.com, or to you at your account’s email address. Both of us will try in good faith to resolve it informally. Either of us may file a claim if the dispute isn’t resolved within 30 days after the notice is received. Either of us may still ask a court for urgent injunctive relief, for example to protect intellectual property or confidential information.

Time limit. To the extent the law allows, any claim arising out of or related to these Terms or Boolance must be filed within 2 years after it arises, or it is permanently barred.

Waiver of jury trial: to the extent the law allows, you and Kimeur Labs each waive the right to a trial by jury in any lawsuit arising out of or related to these Terms or Boolance.

Individual claims only: to the extent the law allows, claims may be brought only on an individual basis, and not as a plaintiff or class member in any class, collective, consolidated or representative action.

Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any lawsuit arising out of or related to these Terms or Boolance must be brought only in the state or federal courts located in Dallas County, Texas, and you and we consent to the personal jurisdiction of those courts. If a law where you are located gives you protections that cannot be waived by contract, these Terms don’t take them away.

Export and sanctions compliance

You may not use Boolance in violation of United States export control or economic sanctions laws, or if you are located in, or ordinarily resident in, a country or region subject to comprehensive U.S. sanctions, or are named on a U.S. government list of restricted parties.

Changes to these Terms

We may update these Terms. We will post the new version here with a new date and version. If a change is material, we will tell you by email or in Boolance before it takes effect; price increases follow the Price changes section. If you keep using Boolance after a change takes effect, the updated Terms apply; if you don’t agree, stop using Boolance and cancel your plan.

Notices and electronic communications

You agree to receive agreements, notices, receipts and other communications from us electronically, by email to your account’s address or in Boolance, and that they satisfy any requirement that a communication be in writing. Keep your email address current. Send notices to us at support@boolance.com.

General terms

These Terms, including the Refund and cancellation policy, are the entire agreement between you and us about Boolance and replace any earlier understanding about it. If a provision is unenforceable, it will be enforced to the extent permitted and the rest stays in effect. Not enforcing a provision is not a waiver. You may not assign or transfer these Terms without our consent; we may assign them to an affiliate or as part of a merger, acquisition, reorganization or sale of assets. Neither of us is liable for a delay or failure caused by events beyond our reasonable control, such as outages of internet, hosting, banking or payment providers, natural disasters, war or government action; this doesn’t excuse amounts you owe. You and we are independent contractors.
